4.3. No Guarantee of Results: While we strive to provide high-quality HR services, we cannot guarantee specific outcomes or results. The success of our services depends on a variety of factors, including client’s company's specific circumstances and clients commitment to implementing our recommendations.
5. Fees and Payment
5.1. Fees: Fees for our Services will be agreed upon in a separate service agreement.
5.2. Payment Terms: Payment terms will be specified in the invoice or service agreement. 
5.3. Taxes: All fees are exclusive of VAT and any other applicable taxes, which will be added to the invoice at the prevailing rate.
6. Intellectual Property Rights
6.1. Our Content: All content on the Website and in our training and development materials, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of MENTALVISTA LIMITED or our licensors and is protected by copyright, trademark, and other intellectual property laws.
6.2. Client’s Content: a client retains ownership of any content submitted to us in connection with our Services. However, by submitting content, a client grants us a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for the purpose of providing our Services.
6.3.   Intellectual Property: All intellectual property rights in our training and development materials are owned by MENTALVISTA LIMITED. 
7. Disclaimer of Warranties
THE WEBSITE AND OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OUR TOTAL LIABILITY TO A CLIENT FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR A CLIENT USE OF THE WEBSITE OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT A CLIENT PAID TO US FOR THE SERVICES IN 12 MONTHS PRECEDING THE CLAIM.

A client agrees to indemnify, defend, and hold harmless MENTALVISTA LIMITED, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to clients use of the Website or our Services, clients violation of these Terms, or clients violation of any rights of another.

We may terminate clients access to the Website and/or our Services at any time, with or without cause, and with or without notice. A client may terminate clients engagement with our Services by providing us with written notice as specified in clients service agreement. 
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of United Kingdom. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of United Kingdom.
12. Changes to These Terms
We may update these Terms from time to time. We will post any changes on our Website and update the "Effective Date" at the top of these Terms. A clientы continued use of the Website or our Services after any such changes constitutes client’s acceptance of the new Terms.
13. Entire Agreement
These Terms constitute the entire agreement between a client and MENTALVISTA LIMITED with respect to clients use of the Website and our Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
